我们是做软件的，最近和朋友一起做了一个项目。在朋友的公司里设立一个项目组，朋友占整个项目80%的股份(出资人)，而我和另一位技术员占整个项目20%的股份，其中我占13%(项目全面的管理和市场开发),技术员占7%(程序编写),请问这样的分配有法律依据吗？如果分配合法我们需要怎样的手续确立这种关系？
答：
公司法对于工业产权入股有明确规定，而对管理入股则没有明确规定。但是你们只是确定各自在项目组中的分配比例，并不违反法律的强制性规定，只要签订一份协议即可，但是操作性则须视协议约定和项目组能否真正独立核算。
