我们甲（我）、乙、丙三方有个内部的合伙协议，并签订了合伙协议书，但是我们的营业执照上登记的是个体，而且是以丙方爱人的名登记的，那么我们不能算是合伙企业了吗？还有，在经营期间有乙方退股了，签订退股协议，但是这个协议是由我与丙方爱人和乙方所签订的，并有三人的签名，那么这份协议是否有效（乙方将其股权转让与我，并有股权转让书）？如果有效，那么可有什么法律依据？
答：
企业的性质由工商登记确认，登记的是个体户就只能是个体户。至于你们之间的合伙协议，可以认为是隐名投资，并不违反法律强制性规定，根据合同法的有关规定，该协议当然有效，其间退股安排自然也有效。
